Terms of Service

1. Introduction

Welcome to Panspermia Labs Private Limited ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of any mobile applications, software, or digital services developed and published by Panspermia Labs Private Limited (collectively referred to as "Apps" or "Services"). By downloading, installing, accessing, or using any of our Apps, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Apps.

2. Account Registration and Authentication

2.1 Account Creation

Some of our Apps allow or require you to create an account to access certain features. You may register using:

  • Sign in with Apple — Apple will authenticate your identity and may share your name and email (or a private relay email address) with us.
  • Sign in with Google — Google will authenticate your identity and may share your name, email address, and profile photo with us.

By creating an account, you represent that the information provided is accurate and that you are authorized to use the chosen authentication method.

2.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality and security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

We are not liable for any losses resulting from unauthorized use of your account.

2.3 Account Deletion

You may delete your account at any time directly within the App's settings, by emailing contact@panspermialabs.com, or by submitting a request through our Support Portal at https://tally.so/r/n09Wpy. Upon deletion, all associated Personal Data and User Content will be permanently removed within 30 days, except where retention is required by law.

3. Intended Use and Scope of Our Apps

3.1 Intended Purpose

Each of our Apps is designed for a specific, clearly defined purpose as described within the App and its App Store listing. You agree to use our Apps only for their intended purpose as described at the time of download or purchase.

3.2 Unintended and Unauthorized Use

Our Apps are powered by artificial intelligence and are designed to process specific categories of input (such as thrift items, stock charts, or event planning requests). Using our Apps to process content outside the intended scope — including but not limited to:

  • Scanning or submitting items, images, or content that are clearly outside the App's stated purpose
  • Deliberately submitting ambiguous, misleading, or manipulated inputs designed to confuse, exploit, or circumvent our AI systems
  • Testing the limits of our AI models through adversarial or bad-faith inputs
  • Using the App as a general-purpose AI tool beyond its stated functionality

— constitutes unintended use under these Terms.

We expressly disclaim all responsibility and liability for any results, outputs, or outcomes arising from unintended use. You acknowledge and agree that:

  • Results generated from inputs outside the App's intended scope are meaningless and should not be relied upon
  • We are not responsible for any decisions made based on such results
  • Unintended use does not entitle you to a refund, credit, dispute, or chargeback of any kind

3.3 AI Model Integrity

Our AI systems are trained and optimized for specific use cases. Deliberately attempting to manipulate, confuse, or exploit our AI models through adversarial inputs, prompt injection, misleading content, or any other method intended to produce unintended outputs is strictly prohibited. We reserve the right to:

  • Suspend or permanently terminate accounts engaged in AI model abuse
  • Flag and log suspicious usage patterns for review
  • Report abuse to relevant app store providers where appropriate

4. Premium Subscriptions and In-App Purchases

4.1 Subscription Plans

Many of our Apps offer premium features through subscription plans or in-app purchases. Pricing, billing cycles, and available features vary by App and may include:

  • Weekly subscriptions
  • Monthly subscriptions
  • Annual subscriptions
  • One-time purchases
  • Credits or usage-based pricing

Specific pricing information is displayed within each App at the time of purchase. All subscriptions are managed and billed through your Apple App Store or Google Play Store account.

4.2 Payment and Billing

  • Payments are processed through your app store provider (Apple App Store or Google Play Store)
  • You agree to pay all applicable fees for your selected subscription plan or purchases
  • All prices are in US dollars unless otherwise specified and include applicable taxes
  • Subscriptions automatically renew unless canceled at least 24 hours before the current billing cycle ends
  • You can manage or cancel subscriptions through your app store account settings

4.3 Refund Policy

All subscription fees and in-app purchases are generally non-refundable, except:

  • In cases of verified technical issues that completely prevent access to paid features
  • As required by applicable law
  • At the sole discretion of your app store provider

The following circumstances do not qualify for a refund under any conditions:

  • Dissatisfaction with AI-generated results arising from inputs outside the App's intended scope
  • Results produced from deliberately misleading, manipulated, or adversarial inputs
  • Unintended use of the App as described in Section 3.2
  • Change of mind after use of the App's core features
  • Claims based on AI output accuracy where the input was not within the App's intended use case

5. Use of Our Apps

5.1 Eligibility

You must be at least 13 years old to use our Apps, in compliance with Apple and Google app store policies. By using our Apps, you represent that you meet this age requirement.

5.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Apps for their intended personal and, where applicable, commercial purposes, subject to these Terms and any additional terms specified within individual Apps.

5.3 Prohibited Conduct

You agree not to:

  • Use any App for unlawful, harmful, fraudulent, or deceptive purposes
  • Use any App outside of its clearly stated intended purpose
  • Deliberately submit misleading, adversarial, or manipulated inputs to confuse or exploit our AI systems
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from our Apps
  • Modify, adapt, or create derivative works based on our Apps
  • Distribute, rent, lease, or sublicense our Apps to third parties
  • Remove, alter, or obscure any proprietary notices or labels
  • Use our Apps to violate any applicable laws or regulations
  • Upload, process, or create content that:
    • Infringes on intellectual property rights
    • Contains illegal, harmful, or offensive material
    • Violates privacy rights of others
    • Contains malware, viruses, or other malicious code
  • Interfere with or disrupt our Apps' normal operation or servers
  • Use automated systems or bots to access our Apps without permission
  • Attempt to gain unauthorized access to other users' accounts or our systems

6. User-Generated Content

6.1 Your Content

You retain full ownership of any content you create, upload, or share through our Apps ("User Content"). By uploading or sharing User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display that content solely as necessary to provide the service to you.

6.2 Content Standards

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to all content you upload
  • Your content does not violate any third-party intellectual property, privacy, or other rights
  • Your content does not contain illegal, harmful, or offensive material
  • Your content is submitted in good faith and is appropriate for the App's intended use case

6.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or applicable law, without prior notice.

7. AI and Technology Disclaimer

Some of our Apps utilize artificial intelligence, machine learning, or other advanced technologies. While we strive to provide high-quality results:

  • Performance may vary based on input quality, device capabilities, and other factors
  • We do not guarantee specific outcomes or accuracy of AI-generated content
  • Results are only meaningful when the App is used for its intended purpose with appropriate inputs
  • Results generated from inputs outside the intended use case are not representative of the App's capabilities and should be disregarded entirely
  • Results should be reviewed before use in professional or commercial contexts
  • Technology limitations may affect processing speed and quality
  • AI-generated content should not be relied upon as professional advice (medical, legal, financial, or otherwise)

We are not responsible for any outcomes, decisions, or losses arising from AI outputs generated through unintended, misleading, or bad-faith use of our Apps.

8. Intellectual Property Rights

8.1 Our Rights

All Apps, including their content, features, functionality, software code, algorithms, and design elements, are owned by Panspermia Labs Private Limited or our licensors and are protected by intellectual property laws.

8.2 Your Content

As described in Section 6, you retain ownership of your User Content. The limited license you grant us ends when you delete your content or your account, except where copies have been shared with others or where retention is required by law.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information — including information received through Sign in with Apple and Sign in with Google — is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Apps, you consent to our privacy practices as described in our Privacy Policy.

10. Termination

10.1 Termination by You

You may stop using our Apps at any time, cancel subscriptions through your app store account settings, and delete your account as described in Section 2.3.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to any or all of our Apps immediately, without notice, if:

  • You violate these Terms
  • We suspect fraudulent, abusive, or illegal activity
  • We detect deliberate misuse or abuse of our AI systems
  • Required by law or regulatory authorities
  • We discontinue the App or service

Termination due to a violation of these Terms does not entitle you to any refund of subscription fees paid.

10.3 Effect of Termination

Upon termination, your license to use the App ends immediately. Sections relating to intellectual property, indemnification, disclaimers, limitation of liability, and unintended use survive termination.

11. Disclaimers and Limitation of Liability

11.1 Disclaimers

Our Apps are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law, Panspermia Labs Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, use, or goodwill
  • Service interruptions
  • Computer damage or system failure
  • Cost of substitute products or services
  • Unauthorized access to or alteration of your account or content
  • Any outcomes resulting from unintended or bad-faith use of our Apps

Our total liability for any claim arising from these Terms or your use of our Apps shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Panspermia Labs Private Limited from any claims, damages, losses, or expenses arising from:

  • Your use of our Apps
  • Your violation of these Terms
  • Your unintended or bad-faith use of our Apps or AI systems
  • Your violation of any third-party rights
  • Your content or conduct in connection with our Apps

We strive to respond to support requests promptly, though response times may vary based on inquiry complexity and volume.

14. Updates and Modifications

14.1 App Updates

We may release updates, modifications, or new versions of our Apps to improve functionality, fix bugs, or add features. Continued use of updated Apps constitutes acceptance of any changes.

14.2 Terms Updates

We may modify these Terms periodically. When material changes occur, we will update the "Last updated" date at the top of this document and may notify you through our Apps or other means. Continued use after changes constitutes acceptance of the revised Terms.

15. App Store Compliance

Our Apps comply with Apple App Store and Google Play Store policies. All payments, subscriptions, downloads, and refunds are also subject to your app store provider's terms and conditions. In the event of a conflict between these Terms and the terms of your app store provider, the app store provider's terms shall govern with respect to payment and subscription matters.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Tamil Nadu, India, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Apps shall be subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented within specific Apps, constitute the entire agreement between you and Panspermia Labs Private Limited regarding your use of our Apps.
